General Terms and Conditions

§1 Scope and Contracting Parties

(1) These General Terms and Conditions apply to all contracts, services and offers of Webseitegestaltung LLC, 3833 Powerline Rd, Suite 201, Fort Lauderdale, FL 33309, USA (hereinafter the “Agency”). The services are intended exclusively for entrepreneurs (§ 14 BGB) and legal entities.

(2) Deviating terms and conditions of the client are not recognised unless the Agency expressly agrees to their validity in writing.

§2 Subject Matter of the Contract & Services

(1) The Agency provides services in the areas of web design, web app development, search engine optimisation (SEO), performance marketing and hosting setup.

(2) The exact scope of services results from the respective individual offer and order.

(3) The Agency provides services in accordance with the recognised rules of technology. However, a specific economic or advertising success is not owed.

§3 Remuneration & Payment Terms

(1) All prices are quoted in euros net plus the statutory value added tax, where applicable.

(2) Invoicing takes place in accordance with the payment plans agreed in the offer. Unless otherwise agreed, invoices are due net within 14 days of receipt.

(3) The Agency reserves the right to issue interim invoices based on project progress for large projects.

§4 Client's Duties to Cooperate

(1) The client is obliged to support the Agency to the best of their ability in providing the agreed services, in particular to provide the required information and materials in good time.

(2) Delays caused by the client (e.g. missing texts, images, access credentials) may extend the project period. The Agency assumes no liability for such delays.

§5 Liability

(1) The Agency is liable only for damages resulting from intentional or grossly negligent breaches of contract as well as in the event of a breach of material contractual obligations.

(2) Liability for data loss is limited to the typical recovery effort that would have arisen with regular data backups.
